The Board of Directors at Nuqul Group believes that effective corporate governance is key to the integrity of the corporation and central to its stability. Corporate governance in the Group is built on adherence to laws, regulations and a number of best practices. Such practices are consistent with the Board's values and responsibility to effectively oversee the Group's strategy, evaluate and compensate Group executives, and strengthen the Group and protect stakeholders' interests as well as the community at large.

Accordingly, the Board of Nuqul Group has adopted the basic elements of Corporate Governance to name a few

• Audit Committee Charter 
• Management Development and Compensation Committee Charter 
• Core values and code of conduct which embody equal opportunity, transparency and integrity.

The Board Manual and the committees’ charters outline the role, responsibilities and modus operandi of the Board, as well as defining its relationship with the executive management.


Establishing the Code of Conduct encourages responsible behavior among employees and enables Nuqul Group to implement a system of checks and balances. The Group does not tolerate or allow ethical violations and takes timely disciplinary actions on such violations. In addition, the Group human resources policies ensure correlation of employees’ performance reviews, compensation and reward with expectations for achieving governance objectives. To this end, appropriate compensation and reward tools have been designed and put in place.
 

To remain competitive in a changing world, Nuqul Group continuously innovates and adapts its corporate governance practices so that the Group can meet new demands and grasp new opportunities. Therefore, the Board periodically reviews the Board of Directors Manual and other aspects of governance and as deemed necessary.
